Roso SEO Watch Perpetual Commercial License

Version 1.0 — September 1, 2026

This license accompanies the copy of Roso SEO Watch identified on the proof of purchase. It is entered into between the RosoAI seller identified in the order or invoice (‘RosoAI’) and the individual or legal entity that validly acquired that copy (the ‘Licensee’).

The terms of sale accepted when ordering supplement this license. Mandatory statutory provisions always prevail over any conflicting provision.

1. License granted

Subject to full payment of the order, RosoAI grants the Licensee a license that is:

• non-exclusive;
• worldwide;
• perpetual for the purchased version;
• without a subscription or recurring license fee;
• usable independently, without a mandatory activation server.

The Licensee may continue using their copy even if RosoAI ceases trading, changes its offer or stops releasing new versions, subject to the operation of the third-party services they have chosen.

2. Permitted uses

For their own professional or personal needs, the Licensee may:

• install, run, reinstall and back up their copy on infrastructure they control or rent;
• use it for their own websites and to provide SEO/GEO services to clients, as long as the agent remains operated under their control;
• inspect, test, adapt, correct and modify the delivered code;
• add or remove tools, connectors, automations and CRON tasks;
• connect the agent to accounts, AI models, messaging platforms, websites and third-party services of their choice;
• create the technical or backup copies necessary for their use;
• involve an employee, contractor or technical administrator acting on their behalf and bound by confidentiality.

None of these operations requires subsequent authorization from RosoAI. The Licensee retains ownership of their VPS, accounts, data, configurations and content they create with the agent.

3. No technical control by RosoAI

The license requires no periodic calls to a RosoAI server, no remote activation key, no commercial telemetry and no remote shutdown mechanism.

The Minisign signature and checksum serve only to verify the origin and integrity of downloaded files. They cannot monitor the Licensee, limit their usage or disable their agent.

4. Commercial restrictions

Unless separately agreed in writing by RosoAI or required by mandatory law, the Licensee may not:

• publish, distribute, give away, rent, sublicense or resell the software, guide, release files or their source code to a third party;
• share their download link or make the files publicly available;
• sell the agent itself, a copy, fork or white-label version as a competing product;
• offer third parties independent access to the software when this primarily amounts to redistributing or commercializing Roso SEO Watch;
• use RosoAI trademarks, logos or commercial elements in a way that suggests a third-party product is published or endorsed by RosoAI.

This clause does not prevent the Licensee from using the agent under their own control to provide their usual services to clients. It protects the distribution and commercialization of the product itself.

5. Intellectual property

The sale transfers ownership of the downloaded copy and grants the usage rights defined above. It does not transfer RosoAI’s intellectual property rights in the product, documentation, brand or future versions.

Third-party components and open-source software retain their respective licenses. This license neither reduces nor extends rights granted directly by their authors.

The Licensee’s statutory rights, including rights necessary for intended use, backup, study, testing and software interoperability, remain applicable.

6. Versions, updates and support

The perpetual license covers the purchased version. It does not promise free access to all future major versions, setup services or support services unless otherwise specified in the purchased offer.

Updates necessary to maintain conformity and applicable consumer statutory guarantees remain due under the conditions provided by law. An update is never installed remotely without action by the Licensee: they decide whether to download and apply it to their VPS.

7. Third-party services and Licensee responsibilities

The VPS, AI provider, Discord, Slack, Google, WordPress, Git and other connected services are chosen and administered by the Licensee. Their prices, availability, terms and data processing are the responsibility of their respective providers.

The Licensee is responsible for:

• security and backups of their infrastructure;
• protecting their tokens, keys and credentials;
• permissions granted to the agent;
• checking content, analyses and changes before using them;
• compliance with laws, third-party rights and connected services’ terms.

Roso SEO Watch is an assistance tool. No specific ranking, traffic, AI citation, revenue or commercial result is guaranteed.

8. Statutory guarantees

Where the Licensee is a consumer, they benefit from the statutory guarantee of conformity applicable to digital content and services and, where applicable, the guarantee against hidden defects. No clause in this license removes or limits these rights.

Withdrawal, delivery and refund arrangements are described before ordering in the terms of sale. Any waiver of the right of withdrawal to receive digital content immediately is valid only if the statutory conditions and the consumer’s express consent were respected during checkout.

9. Limitation of liability

To the extent permitted by law, RosoAI is not liable for losses resulting from incorrect configuration, disclosure of a secret by the Licensee, an unchecked change, a third-party service or use contrary to the documentation.

This limitation does not apply to mandatory statutory guarantees, fraud, gross negligence, personal injury or other liabilities that cannot be contractually limited.

10. Duration and breach

The license is perpetual. In the event of a serious breach of commercial restrictions, RosoAI may request that the infringement cease and exercise the remedies provided by law. No technical mechanism remotely disables the Licensee’s copy.

11. Transfer

Transfer to a third party is permitted only with RosoAI’s written agreement or to the extent required by law. Where a transfer is legally permitted, the Licensee must stop using the transferred copy, delete retained copies and provide this license to the recipient.

12. Governing law

The license is governed by French law. For a consumer, this choice never deprives them of protection under mandatory provisions of their country of residence or applicable jurisdiction rules.
